CHARLOTTE, N.C. — cbdMD Inc. has entered into a definitive agreement to acquire Twinlab’s operating assets and brands, a deal that would significantly expand the company’s presence across supplements, sports nutrition, weight management, beauty, and longevity wellness.
The acquisition includes the Twinlab, Reserveage, Metabolife, and Alvita Tea brands. The transaction is being conducted through an assignment for the benefit of creditors proceeding and remains subject to court approval and customary closing conditions.
Based on unaudited financial information, cbdMD said the combined companies generated approximately $30 million in trailing 12-month revenue through June 2026. That would represent an increase of about 40% compared with cbdMD’s standalone revenue for the same period.
The acquisition would also reduce cbdMD’s reliance on the hemp category as the company builds a broader consumer wellness platform. Its portfolio would span supplements, sports nutrition, longevity, functional wellness, pet wellness, hemp-derived products, and other consumer health categories.
Founded in 1968, Twinlab has a long-standing presence in vitamins, minerals, sports nutrition, and active lifestyle products. According to cbdMD, Twinlab products are distributed through approximately 50,000 retail outlets, including The Vitamin Shoppe and GNC, as well as on Amazon.
“Twinlab is the kind of brand equity that companies spend decades trying to build,” said Ronan Kennedy, CEO of cbdMD. “The brands, distribution channels, and team are highly complementary to what we already operate, and this transaction gives these brands the stability and support they need for their next chapter.”
Kennedy said cbdMD plans to use its marketing, creative, and e-commerce capabilities to increase awareness and drive direct-to-consumer sales while supporting the brands’ existing wholesale and retail distribution.
The acquired portfolio would give cbdMD exposure to additional consumer segments. Reserveage focuses on longevity, resveratrol, collagen, and beauty-from-within products, while Metabolife has an established presence in weight management. Alvita Tea adds herbal teas to the portfolio.
“cbdMD is the right home for these brands,” said Anthony Zolezzi, CEO of Twinlab. “This combination will pair decades of heritage and category credibility with a modern, marketing-driven platform and the resources to reintroduce these products to a new generation of consumers.”
The agreement follows cbdMD’s earlier acquisition and integration of Bluebird Botanicals. The company said the Twinlab transaction is part of its strategy to build a portfolio of wellness brands supported by shared infrastructure and capabilities in product development and commerce.
cbdMD has filed a Current Report on Form 8-K with the Securities and Exchange Commission detailing the transaction and its closing conditions.
