Foundation Consumer Healthcare to retain Plan B in brand portfolio sale

Foundation Consumer Healthcare will sell part of its OTC health division to Prestige Consumer Healthcare, while keeping its Women’s Health unit.

PITTSBURGH — Foundation Consumer Healthcare announced it has agreed to sell part of its over-the-counter consumer health and wellness division to Prestige Consumer Healthcare, while retaining its Women’s Health unit, which is led by Plan B One-Step emergency contraception. The sale includes 10 OTC brands, such as Breathe Right Nasal Strips and Anbesol.

Breathe Right, famous for its nasal strips that help improve airflow and reduce congestion, brought in about $200 million in revenue and $95 million in core profit in 2025.

Foundation stated that the move reflects a strategic decision to sharpen its focus on women’s health. CEO Greg Bradley mentioned that the company considers Plan B One-Step a key asset with a strong legacy in emergency contraception. He also said the transaction will enable Foundation to pursue new partnerships and growth opportunities within that portfolio.

Prestige separately disclosed that the transaction is valued at $1.045 billion, or about $900 million net of anticipated tax benefits, and stated that the acquired portfolio generated approximately $200 million in revenue and $95 million in EBITDA for the 12 months ending December 31, 2025. The deal is expected to close in the first half of Prestige’s fiscal 2027, subject to customary conditions.

Foundation noted that Plan B One-Step has been available OTC without a prescription or age restriction since 2013 and stated it plans to continue developing around the brand as it narrows its focus.
