Prestige Consumer to acquire Breathe Right brand

Breathe Right, famous for its nasal strips that help improve airflow and reduce congestion, brought in about $200 million in revenue and $95 million in core profit in 2025.

TARRYTOWN, N.Y. — Prestige Consumer Healthcare is expanding its footprint in the over-the-counter health category with an agreement to acquire the Breathe Right brand and related assets from Foundation Consumer Healthcare in a deal valued at approximately $1.045 billion.

The transaction, valued at roughly $900 million after expected tax benefits, marks Prestige’s entry into the nasal strip market and adds a well-known consumer brand to its portfolio. Breathe Right, famous for its nasal strips that help improve airflow and reduce congestion, brought in about $200 million in revenue and $95 million in core profit in 2025.

“Today’s acquisition fits squarely within our disciplined M&A framework, and the Breathe Right brand enhances our portfolio over the long term,” said CEO Ron Lombardi.

Upon closing, Breathe Right is expected to become the largest brand within Prestige’s portfolio, reinforcing the company’s strategy of acquiring durable, cash-generating OTC brands with strong consumer recognition.

The deal is expected to close in the first half of 2027 and is projected to increase Prestige’s core profit.

Prestige Consumer Healthcare, which develops and markets OTC healthcare and personal care products across North America, Australia, and other international markets, recently reported third-quarter results that exceeded revenue expectations, highlighting ongoing demand in its core categories.
